New York Printing Solutions Inc. Terms of Service

1. Acceptance of Terms

Welcome to New York Printing Solutions Inc. ("we," "us," "our"). These Terms of Service ("Terms") govern your access to and use of our website, https://www.nyprintingsolutions.com, and all related services (collectively, the "Site").

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. We reserve the right to modify these Terms at any time without prior notice. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.


2. Electronic Communications

You agree that we may provide all legal communications and notices to you electronically, either by posting them on our Site or by sending an email to the address you provided during registration. To withdraw your consent to receive electronic communications, you must contact customer care and discontinue your use of your account.


3. Orders and Payment

  • Order Acceptance: All orders are subject to our acceptance. We reserve the right to reject any order at our sole discretion. Prices are based on the specifications provided by you at the time of your order. We reserve the right to adjust the price if we determine that the files you have submitted do not match the order's specifications (for example, due to incorrect size, color profile, or bleed setup) or if they require significant prepress work to be made print-ready. In such cases, we will notify you of any price adjustment and await your approval before proceeding with the order. If you do not approve the adjustment, you will have the option to cancel the order.
  • Payment: If your credit card or payment method is declined, we will not process your order.
  • Delinquent Accounts: If we must take legal action to collect a delinquent balance, you agree to pay our reasonable legal fees and costs associated with the collection.


4. Cancellations, Returns, and Refunds

  • Cancellations: Due to the custom nature of our products, an order cannot be canceled or refunded once it has been processed.
  • Returns & Defects: Any claims for defects, damages, or shortages must be made in writing within five (5) business days of receiving your merchandise. A replacement will be considered only after we have received the returned merchandise. We will conduct a good faith review of the order to determine the source of the error. If we find the product does not meet generally accepted printing industry standards for quality due to a verifiable mistake in our production process, we will promptly reprint the order at no cost to you. We are not responsible for errors originating from customer-provided files, such as typos, low-resolution images, or incorrect color profiles.


5. Shipping and Delivery

We will arrange for shipping with a carrier on your behalf. You are responsible for all shipping and handling costs. Risk of loss or damage to your order passes to you upon our delivery to the shipping carrier. To protect against issues in transit, we recommend selecting an insured shipping option during checkout.


6. User Content and Intellectual Property

  • Our Intellectual Property: All tools, designs, graphics, and content available on the Site are the property of New York Printing Solutions Inc. and its affiliates.
  • Your Content: You are solely responsible for the content you submit, upload, or otherwise provide to us for printing ("Your Content"). You represent and warrant that you own or have the legal right and authority to use Your Content and that it does not infringe upon any third-party's rights, including copyright, trademark, privacy, or other personal rights. Your Content must not be scandalous, defamatory, or otherwise unlawful.


7. WARRANTY DISCLAIMER

THE SITE AND OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." NEW YORK PRINTING SOLUTIONS INC. MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AND HEREBY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. OUR ONLY RESPONSIBILITY IS THE POTENTIAL REPLACEMENT OF A DEFECTIVE PRODUCT AT OUR SOLE DISCRETION.


8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, NEW YORK PRINTING SOLUTIONS INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING FINANCIAL LOSSES, COSTS, OR EXPENSES) ARISING OUT OF OR IN CONNECTION WITH OUR PERFORMANCE, NONPERFORMANCE, OR YOUR USE OF OUR PRODUCTS OR SITE. OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.


9. INDEMNIFICATION

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS NEW YORK PRINTING SOLUTIONS INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, AND EMPLOYEES FROM ANY AND ALL CLAIMS, DEMANDS, LOSSES, AND DAMAGES (INCLUDING REASONABLE LEGAL FEES) ARISING FROM OR RELATED TO: (A) YOUR CONTENT; (B) YOUR USE OF THE SITE; OR (C) YOUR VIOLATION OF THESE TERMS.


10. General Provisions

  • Governing Law: All transactions and any disputes arising from these Terms shall be governed by the laws of the State of New York.
  • Force Majeure: We are not responsible for delays or damages resulting from circumstances beyond our reasonable control, including but not limited to machinery breakdown, acts of God, war, riot, seizure, embargo, or other governmental actions.
  • Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and New York Printing Solutions Inc.
